Agreement to our legal terms
Major Tech, Inc. (“Major,” “we,” “us,” or “our”) operates the Major platform at major.build and app.major.build, which enables organizations to build, deploy, and operate AI-generated internal applications (the “Services”). By accessing or using the Services, you (“Customer,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and all applicable laws. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, you must stop using the Services.
Our services
The Services are intended for general business use by professionals 18 years or older (or 16+ in the EEA with appropriate consent). If you access the Services from outside the United States, you are responsible for compliance with your local laws. The Services are not designed for, and you must not rely on them for, sector-specific regulations such as HIPAA, GLBA, or FISMA without a separate written agreement with Major. We provide the Services on an “as available” basis and may schedule maintenance or experience unplanned interruptions; we will provide advance notice when reasonably feasible.
Intellectual property rights
Our intellectual property
Major retains all right, title, and interest in and to the Services, including the underlying software, algorithms, AI orchestration, user interfaces, designs, trademarks, documentation, and aggregated usage data. Nothing in these Terms transfers ownership of any Major intellectual property to you. Subject to your compliance with these Terms, Major grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
Your intellectual property
You retain all rights to your Customer Data, including the prompts, files, code, and other content you submit to the Services, and to the applications you build through the platform. You grant Major a limited license to host, process, transmit, and display your Customer Data solely to provide and improve the Services and to deliver technical support.
AI-generated output
You own outputs generated by the Services subject to these Terms. Because AI systems can produce similar outputs for similar inputs, generated output may not be unique. AI output may contain errors, omissions, or third-party material. You are responsible for reviewing, testing, and validating any AI-generated code, content, or configuration before using it in production.
Data usage, training, and learning
Data categories
- Usage Data (Major's): technical and operational telemetry generated automatically as you use the Services. Major owns Usage Data and uses it for reliability monitoring, debugging, capacity planning, and feature development.
- Customer Data (yours): prompts, files, projects, and content you provide. You retain ownership. Major processes Customer Data only to deliver and secure the Services and to provide technical support.
- Integration Data: data drawn from third-party tools you authorize Major to access (for example, GitHub, Jira, Google Workspace, or your databases). We access only the minimum required to perform the actions you direct.
AI training opt-out
We do not use your Customer Data to train Major's AI models by default, and we instruct our third-party LLM providers to opt out of model-training programs and to delete data on a defined schedule. If you have questions about training preferences, contact support@majortechnology.com.
Operational access and benchmarking
Authorized Major personnel may access workspace data when reasonably necessary to investigate a support request, security incident, or platform health issue. Such access is logged for accountability. We may publish aggregated, de-identified performance statistics about the Services that do not include readable code or identifying information.
Data export and deletion on termination
You may request export or deletion of your Customer Data within thirty (30) days of termination by emailing support@majortechnology.com. After that window, or once your request has been processed, Major may permanently delete your Customer Data except where retention is required by law or necessary to resolve disputes.
User accounts and content
Account registration and security
You must provide accurate, current, and complete information when you register and keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at support@majortechnology.com if you suspect unauthorized use. Major may suspend or terminate accounts that violate these Terms or applicable law.
Content you provide
You may submit prompts, code, files, images, and other materials to the Services. You are solely responsible for confirming that you own or have permission to share that content, that it does not infringe any third-party rights, and that it complies with these Terms.
Subscription and payment terms
The Services operate on a subscription-plus-credits model. Each plan includes a base fee and an allocation of usage credits that determine capacity. Pricing and credit mechanics are published on our pricing page and are incorporated into these Terms by reference. Credits are consumed as you use the Services and metered against your plan; usage above your allocation may incur automatic charges. You are responsible for monitoring usage through your account settings.
Payments are processed by Stripe. You authorize Major and Stripe to charge your designated payment method for recurring subscription fees and any overage. The Stripe payment terms apply separately. Failed payments may result in suspension or termination until the balance is resolved. Fees are non-refundable except where required by law.
Service policies
Service delivery
Access to the Services begins as soon as your account is provisioned.
Cancellation
You may cancel your subscription by emailing support@majortechnology.com or through your account settings. Cancellation takes effect at the end of the then-current billing period.
Refunds
Digital services and consumed credits are generally non-refundable. Refunds may be issued where required by law or where Major explicitly agrees in writing.
Changes to fees
Pricing changes take effect at the start of your next billing cycle, with advance notice.
DMCA compliance
Major respects the intellectual property rights of others and responds to valid DMCA notices. If you believe that material on the Services infringes your copyright, send a notice to support@majortechnology.com that includes: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and information sufficient to locate it; (c) your full legal name, mailing address, phone, and email; (d) a good-faith belief statement that use of the material is unauthorized; (e) a statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorized to act on their behalf; and (f) your physical or electronic signature.
If your material was removed by mistake, you may submit a counter-notice with the same identifying information and a sworn statement of mistake. Major may terminate the accounts of repeat infringers.

Prohibited uses
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services.
- Use automated tools, bots, scrapers, or crawlers against the Services without our written consent.
- Probe, scan, or attempt to bypass the security features of the Services.
- Use the Services to develop or benchmark a competing product without our written consent.
- Upload or transmit malware, viruses, or other malicious code.
- Harass, impersonate, defraud, or harm others, or engage in phishing.
- Overload, degrade, or interfere with the Services or other customers' use of them.
- Create multiple accounts to evade restrictions or quota limits.
- Violate export-control laws, sanctions regulations, or any applicable law.
Enforcement and remedies
Major reserves the right to suspend or close accounts, remove content, block access, report unlawful activity to authorities, decline refunds for cause-based termination, and take other reasonable steps to protect the Services. Choosing not to enforce a provision in one instance does not waive our right to enforce it later.
Privacy
Major is committed to user privacy. Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms. The Services are hosted in the United States. If you access the Services from another region, you consent to the transfer of your data to and processing in the United States.
Data protection
Both parties have independent obligations under applicable data protection laws (including GDPR and US state privacy laws). You are responsible for ensuring your own compliance and for implementing appropriate technical and organizational measures for the Customer Data you submit. Major maintains its own compliance obligations as described in the Privacy Policy and our Data Processing Addendum, where applicable.
Feedback
If you send us feedback, suggestions, or ideas about the Services, you grant Major a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and display that feedback for any purpose without compensation or attribution.
AI use disclaimer
Major uses AI to generate code, content, configuration, and recommendations. AI output may contain mistakes, inefficiencies, or security issues; may be similar or identical to outputs produced for others; may incorporate third-party material; and should not be treated as professional advice or relied upon for safety-critical applications. You are solely responsible for reviewing, testing, and validating output before using it. Major does not guarantee that AI output will be accurate, unique, free of third-party claims, or suitable for any particular purpose.
Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MAJOR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE FROM MAJOR CREATES A WARRANTY THAT IS NOT EXPRESSLY STATED HERE.
Limitation of liability
EXCEPT FOR INDEMNIFICATION OBLIGATIONS, MAJOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, EVEN IF MAJOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MAJOR'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MAJOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
California residents expressly waive California Civil Code §1542. These limitations apply to all legal theories and reflect the allocation of risk in our pricing. Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.
Indemnification
You will indemnify, defend, and hold harmless Major and its affiliates, officers, directors, employees, agents, suppliers, and licensors from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services or AI outputs; (b) your violation of these Terms or applicable law; (c) infringement or misappropriation of third-party rights through your prompts, outputs, or Customer Data; or (d) content you provide. Major may assume the defense of any claim at its own expense, and you agree to cooperate.
Modifications and interruptions
Major may modify, suspend, or discontinue any part of the Services at any time without notice and is not liable for any modification, price change, suspension, or discontinuance. Hardware, software, or maintenance issues may cause interruptions. Nothing in these Terms obligates Major to maintain, support, or supply updates to the Services.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The state and federal courts located in San Francisco County, California have exclusive jurisdiction over any non-arbitrated dispute.
Dispute resolution
Arbitration agreement
Any unresolved dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial or Consumer Arbitration Rules. Arbitration will take place in San Francisco County, California, or, at the arbitrator's discretion, by documents, phone, or online. The arbitrator will apply Delaware law and issue a written decision. Major will cover any portion of arbitration fees that exceeds what is reasonable.
Class-action waiver
Disputes will be conducted on an individual basis only. Class actions, consolidated actions, and representative claims are not permitted.
Exceptions
Arbitration does not apply to intellectual property claims, allegations of theft, piracy, or unauthorized use, or requests for injunctive relief. Non-arbitrable matters will be heard in the courts of San Francisco County, California.
Time to file
Claims must be brought within one (1) year of arising, or they are permanently barred.
Corrections
The Services may contain errors in descriptions, pricing, availability, or other information. Major may correct any errors and update information at any time without notice. While we strive for accuracy, we do not guarantee that the content of the Services is current, accurate, or complete.
Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any documents incorporated by reference, are the entire agreement between you and Major regarding the Services and supersede prior agreements. A signed master services agreement or order form between you and Major will control over any conflict with these Terms.
- Waiver. Our failure to enforce a provision is not a waiver of any later enforcement of that or any other provision.
- Severability. If a provision is found unenforceable, the remaining provisions will continue in full force.
- Assignment. You may not assign these Terms without our prior written consent. Major may assign these Terms without restriction.
- Force majeure. Major is not liable for delays or failures caused by events outside our reasonable control.
- No agency. No partnership, joint venture, employment, or agency relationship is created by these Terms.
- Electronic acceptance. Your electronic acceptance of these Terms has the same legal effect as a signed agreement.
- Export controls. You must not use the Services in violation of US or other applicable export-control laws or sanctions, and you represent that you are not a restricted person or entity.
